Voilà's Terms and Conditions

1. Acceptance of Terms

By creating an account, accessing, or using the Voilà Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any future modifications. Voilà reserves the right to update these Terms at any time without prior notice. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. We recommend you review these Terms periodically.

2. Eligibility

You must be at least 13 years old to use the Voilà Services. If you are under 18, you must have the permission of a parent or legal guardian to use the Services, and they must agree to these Terms on your behalf. By using the Services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

To access certain features of Voilà, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the confidentiality of your password and notify Voilà immediately of any unauthorized use of your account.
• Accept full responsibility for all activities that occur under your account.

Voilà will not be liable for any loss or damage arising from your failure to comply with these obligations.

4. License to Use the Services

Subject to your compliance with these Terms, Voilà grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial language learning purposes.

Voilà Classroom records microphone audio as part of the service. We use it to produce the transcript, the lesson summary, and follow-up practice. That recording is necessary to perform the Voilà Classroom service, and a lesson cannot be held there without it. This license does not let you use the Voilà browser extension, or recording on Google Meet, Zoom, or Microsoft Teams, to obtain hidden, secret, surreptitious, or otherwise non-consensual audio or video recordings, or to capture the communications of others without meeting all legal requirements that apply in your jurisdiction.

Your responsibility outside Voilà Classroom. For the browser extension and for recording on Google Meet, Zoom, or Microsoft Teams, you are legally responsible for obtaining any required consent, notice, and permissions from all participants before recording, transcribing, or otherwise processing communications, including requirements under the GDPR, applicable wiretap, eavesdropping, or surveillance laws, and any other local, national, or regional laws. Voilà does not provide legal advice and does not monitor whether you have obtained that consent. Ensuring compliance for those features is solely your obligation. By using them, you represent that your use will comply with those requirements.

5. Subscription, Billing, and Service Access

Voilà operates on a pay-as-you-go billing model. You are charged per session based on your actual usage, including the duration of the session and the hosting method used. Tutor software-usage fees in this section are separate from the student AI Insights subscription in section 17, which teaching a class does not add.

• Service Selection and Access. When subscribing to Voilà, you select a preferred hosting method: Chrome Extension, Bot, or Voilà in-app hosting. However, your subscription grants you access to all available hosting methods. You are not limited to the hosting method you initially selected.
• Switching Between Services. You may switch between hosting methods (Chrome Extension, Bot, or Voilà in-app hosting) at any time. Each session will be billed based on the hosting method and duration used for that specific session.
• Usage-Based Billing. By subscribing, you acknowledge and agree that charges are calculated based on your actual usage, regardless of which hosting method you use for any given session. Pricing varies by hosting method and session duration as described on our pricing page.
• 5.4 Billing Provider & Taxes. Tutor software-usage fees, and the tutor's own related voila.fun subscription charges, are processed by FastSpring (Bright Market, LLC). These are not the student AI Insights subscription in section 17. Listed prices are exclusive of VAT, GST, and sales tax; FastSpring calculates and adds applicable tax at checkout based on your billing country. FastSpring acts as merchant of record for these charges.

6. Teaching Assistant Fair Usage Policy

Voilà provides an AI-powered Teaching Assistant as part of its Services. The cost of the Teaching Assistant—which uses Google Gemini for text generation, text-to-speech, and image creation—is built into the per-session hosting fee. The following fair usage terms apply:

• Fair Usage Limit. Voilà reserves the right to restrict access to the Teaching Assistant if your token consumption (including text generation, text-to-speech, and image creation via Google Gemini) exceeds the usage allowance built into the margin of your hosting fees.
• Restriction of Access. If your Teaching Assistant usage exceeds the built-in allowance, Voilà may restrict your access to the Teaching Assistant until you host additional meetings through any of Voilà's services (Chrome Extension, Bot, or Voilà in-app hosting), thereby generating additional hosting fees that cover the cost of further Teaching Assistant usage.
• High-Usage Option. If you exceed the fair usage threshold, you may choose to either: (a) discontinue use of the Teaching Assistant until further hosting activity restores your allowance, or (b) subscribe to a separate pay-as-you-go plan designed for high-usage Teaching Assistant access.
• Proactive Outreach. Voilà will make reasonable efforts to contact users whose Teaching Assistant usage approaches or exceeds the fair-use threshold before any restrictions are applied.

7. Prohibited Conduct

You agree not to:

• Use the Services for any illegal or unauthorized purpose.
• Interfere with or disrupt the integrity or performance of the Services or data contained therein.
• Attempt to gain unauthorized access to the Services or its related systems or networks.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission from Voilà.
• Transmit any worms or viruses or any code of a destructive nature.
• Engage in any activity that harasses, abuses, or harms another person or entity.
• Use the Services to send unsolicited communications or spam.
• Use the Voilà extension or other recording or transcription features to record, monitor, intercept, or transcribe communications without obtaining all consents and satisfying all legal obligations required in your jurisdiction.
• Attempt to conceal recording or transcription from participants, bypass or disable lawful consent or transparency requirements, or use the Services in a covert manner contrary to applicable law.

8. Intellectual Property Rights

All content, features, and functionality of the Voilà App and Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of Voilà or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Your use of the Services does not grant you any ownership rights to any content, code, data, or materials you may access on or through the Services.

9. User-Generated Content

Voilà may allow you to submit, upload, publish, or otherwise make available content, including but not limited to text, images, audio, and video ("User Content"). You retain all rights in and to your User Content. However, by making any User Content available through the Services, you grant to Voilà a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Services and Voilà's business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

You represent and warrant that: (i) you are the sole and exclusive owner of all User Content or you have all rights, licenses, consents, and releases necessary to grant Voilà the license to the User Content as set forth above; and (ii) neither the User Content nor your submission, uploading, publishing, or otherwise making available of such User Content nor Voilà's use of the User Content as permitted herein will infringe, misappropriate, or violate a third party's intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

10. Third-Party Services and Content

The Services may contain links to third-party websites or resources. You acknowledge and agree that Voilà is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Voilà of such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

11. Disclaimer of Warranties

The Services are provided "as is," without warranty of any kind, either express or implied. Without limiting the foregoing, Voilà explicitly disclaims any warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. Voilà makes no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. Voilà makes no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any content obtained through the Services.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Voilà, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

13. Indemnification

You agree to defend, indemnify, and hold harmless Voilà and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) content posted on the Service.

This indemnity includes, without limitation, claims arising from or related to unlawful or non-consensual recording or transcription, violation of privacy, confidentiality, wiretap, surveillance, or similar communications laws, or misuse of the Voilà extension or other hosting or capture features, to the fullest extent permitted by applicable law.

14. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of these Terms, except where the law of your country of residence gives you the right to bring a claim in the courts of that country. Nothing in these Terms affects rights you have under mandatory consumer-protection law. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

15. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

16. Payment Processing and Stripe Connect

Voilà uses Stripe Connect to enable tutors ("Payment-Enabled Tutors") to accept payments directly from students. By connecting a Stripe account through the Voilà platform, you agree to the following additional terms:

17. Student AI Insights (WhatsApp and Telegram)

This section is the student subscription for Voilà AI Insights. It is primarily AI language practice on WhatsApp and Telegram. The USD $19.99 charge is not added to a tutor's per-lesson hosting fee in section 5, and teaching a class does not bill the tutor for it. The in-lesson Teaching Assistant in section 6 stays included in that hosting fee and is a different product. In this section, "you" means the student. A tutor may choose to pay for a student's seat (see 17.5); that optional charge is separate from the hosting fee. A tutor practicing on their own account is demonstrating the product, and that use is not this subscription. AI Insights is available as a paid subscription, on a free trial, at no cost while your tutor is teaching you on Voilà, and on a limited free tier. By subscribing to AI Insights, or by using it on any of the tiers described below, you agree to the following additional terms (this section was last updated on 2026-10-09):

• 17.1 Subscription, Pricing & Taxes. The Voilà AI Insights subscription is USD $19.99 per month, exclusive of any applicable sales tax, VAT or GST, charged via FastSpring (Bright Market, LLC) as merchant of record. USD $19.99 is the price before tax. FastSpring adds any sales tax, VAT or GST due in your country at checkout, so the amount charged to your card may be higher than USD $19.99. We may display an approximate equivalent of the pre-tax price in your local currency for reference. We may change this price by giving you at least 30 days' notice via email; price changes only take effect from your next renewal.
• 17.2 What's Included. An AI Insights subscription is primarily AI language practice through our WhatsApp and Telegram assistants — including text conversation, voice notes, spoken replies, AI voice practice calls, on-demand exercises, photo-based exercises and scheduled practice reminders. It also includes the AI Insights chat on the Voilà website, grounded in your recorded lessons. Individual features may be added, changed or withdrawn over time, and all use is subject to the allowances in 17.6.
• 17.3 Free Trial. AI Insights includes a 7-day free trial, limited to one per account. You may receive it in either of two ways. (a) Without payment details: we may start your trial automatically when you create a student account, when you verify your email address, or when you redeem a referral code. No payment method is required, nothing is charged when the trial ends, and your account simply moves to the free tier described in 17.4. (b) At checkout: if you start a trial as part of subscribing, your payment method is held but not charged during the trial; if you do not cancel before the trial ends, it is charged at that point and the subscription renews monthly until you cancel. Either way you will not be charged during the trial itself, and trial usage is subject to the allowance in 17.6.
• 17.4 After Your Free Trial. If your trial ends without a subscription, you are not charged and your account moves to a free tier. On the free tier the WhatsApp and Telegram assistants continue to reply to you in text and you can still request a limited number of exercises, but voice notes, spoken replies, AI voice practice calls, scheduled practice reminders and photo uploads are switched off, and a much smaller monthly allowance applies (see 17.6). AI Insights chat on the website requires an active subscription or complimentary access. You can subscribe at any time to restore full access.
• 17.5 Complimentary Access Through Your Tutor. If you are actively taking lessons with a tutor on Voilà, you receive AI Insights at no cost for as long as that remains the case — there is nothing to buy and no code to enter. This is a live entitlement that we recheck each time you use the service, not a fixed grant. It requires an active relationship with a tutor whose own Voilà subscription is in good standing, together with lessons in progress: an upcoming lesson or booking, an active recurring schedule, remaining package credits, or a lesson within the last 7 days. If your lessons stop, complimentary access pauses until you book again or subscribe. Complimentary access carries a USD $5 monthly allowance (see 17.6). A tutor-sponsored paid seat uses the USD $15 allowance instead. That seat is an optional charge a tutor chooses to pay for a student, and it is not the tutor's own per-lesson hosting fee.
• 17.6 Fair-Use Allowances. AI Insights is metered by the computing cost of the AI you actually use, because a voice call, a spoken reply and a text message cost very different amounts to produce. Each tier has one allowance, shared across AI Insights chat on the website and AI practice on WhatsApp and Telegram. A paid subscription and a tutor-sponsored paid seat each carry USD $15 per calendar month. Complimentary access while you are taking lessons carries USD $5 per calendar month, and the free trial carries USD $5 across the trial. The free tier carries USD $0.75 per calendar month. The app shows how much of that allowance you have left as a percentage, not as a dollar balance. Live video lessons with your tutor, and the analysis of those lessons, are not counted against this allowance.
• 17.7 Reaching an Allowance. Reaching your allowance pauses AI practice rather than slowing it down. The assistant stops replying until your allowance resets, scheduled messages are paused, and we email you to let you know. Paid, complimentary and free-tier allowances reset at the start of the next calendar month (UTC); the trial allowance runs for the length of the trial. Subscribing, or moving to a higher tier, restores access immediately. Separate short-term limits also apply so the service stays responsive: currently 40 chat messages per hour, 100 per day and 400 per 30 days on the website, with higher limits for spoken replies and translation; up to 10 on-demand exercises per day, or 3 on the free tier; and AI voice practice calls are limited to 10 minutes each. These reset on a rolling basis. We may adjust any of these allowances and limits by giving notice in this section.
• 17.8 Auto-renewal & Cancellation. Subscriptions renew automatically every month. You can cancel at any time from Settings → Voilà AI; cancellation takes effect at the end of the current paid period and you keep access until then. Except where 17.12 or applicable consumer-protection law requires otherwise, we do not pro-rate partial months.
• 17.9 Failed Payments. If a renewal charge fails, your subscription enters a grace period of at least 7 days during which you retain access while we retry the charge and email you to update your card. If the renewal has not succeeded by the end of the grace period, your access to AI Insights is paused until you successfully update your payment method.
• 17.10 WhatsApp & Telegram. If you use AI practice on WhatsApp or Telegram, you consent to us sending you messages on that channel, including practice prompts, reminders and service notices. Message frequency varies with how you use the service and with the settings you choose. You can stop messages at any time by replying STOP on WhatsApp, by blocking the assistant, or by turning the channel off in your Voilà settings; you can restart by messaging us again. Your carrier's standard message and data rates may apply. Messages are delivered through Meta Platforms (WhatsApp) and Telegram respectively, and are handled under their terms and privacy policies as well as our own Privacy Policy.
• 17.11 AI Disclaimers. AI Insights is provided "as is" and may produce inaccurate, incomplete, or out-of-date responses. It is not a substitute for instruction from your tutor and is intended only as a study aid. Do not rely on it for medical, legal, financial, or other professional advice. Your conversations are processed by third-party AI providers under their respective privacy and acceptable-use policies. How we review conversation text to maintain quality and improve the agent is described in our Privacy Policy.
• 17.12 Refunds. Except where required by applicable consumer-protection law (e.g. statutory withdrawal rights in the EU/UK), monthly subscription fees are non-refundable once charged. To request a refund, contact hello@voila.fun; approved refunds are issued through our merchant of record. Where a statutory right of withdrawal applies, the AI Insights service begins immediately on subscription start and you expressly consent to that immediate performance; if you cancel within any applicable withdrawal period, we will refund the prorated unused portion of the period. If you reach your monthly allowance under 17.6 partway through a paid month, contact us at hello@voila.fun — we will normally either restore your allowance for the remainder of that month or credit the unused portion, at your option. Our full Refund Policy forms part of these Terms.

By starting a Voilà AI Insights subscription, you confirm that you have read and accept this section in addition to the rest of these Terms. We will record the version of this section that was in force at the time you subscribed.

18. Students introduced by Voilà

This section applies to tutors. It covers online lessons with students Voilà's marketing introduces to you. It does not limit how you are paid, and it does not apply to lessons you teach in person.

19. Debate Practice

Debate positions are practice positions for language learning and do not represent your views.
